Welcome to the official Terms of Service for Samuel Singh Bhakuni (“Service Provider,” “Freelancer,” or “I”). By engaging my services, you agree to the following terms. Please read them carefully before proceeding.


1. Parties and Agreement


This Services Agreement (“Agreement”) is between Samuel Singh Bhakuni (“Service Provider,” “Freelancer,” or “I”) based in Ahmedabad, Gujarat, India, and the client (“Client” or “You”). The effective date commences when you accept my proposal, pay the deposit, or I begin work at your request – whichever occurs first.


2. Services Offered


I provide professional creative services including:


  • Video Editing and Post-Production

  • VFX & Motion Graphics

  • 3D Environment Design and Visualisation

  • Animation (2D/3D)

  • Cinematography and Photography

  • Graphic Design and Branding

  • Colour Grading and Audio Enhancement (basic)

  • Website Design and Website Development (no code)


Social Media Marketing Services are governed separately under Section 21 of these Terms.


Services are performed remotely unless otherwise agreed. Only deliverables explicitly listed in our project scope (“Statement of Work” or SOW) are included.


3. Project Consultation and Scope Definition


  • Initial consultation required via email (samuelbhakuni@outlook.com) before any work commences

  • Detailed project brief and creative direction must be provided upfront

  • Scope includes specific deliverables: formats, resolutions, versions, duration, and technical specifications

  • Any work beyond the agreed scope requires written approval and additional fees via Change Order


4. Pricing and Payment Structure


Base Fees

  • Pricing determined by project complexity: fixed-fee or hourly rates as discussed

  • 50% non-refundable deposit required to reserve schedule and commence work

  • Remaining 50% due upon final delivery (or milestone payments for larger projects)

  • Rush projects (less than 48 hours): 2× standard rate

  • Weekend/holiday work: 1.5× standard rate


Payment Methods

  • Bank Transfer (preferred for Indian clients)

  • UPI payments accepted

  • International payments via wire transfer (client bears all bank charges)

  • Payment due within 7 calendar days of invoice date


Late Payment Penalties

  • 10% late fee applied after 7 days overdue

  • Additional 2% per month compounded on outstanding amounts

  • Work suspension rights reserved after 14 days overdue until payment received


5. Anti-Ghosting and Communication Policy


Communication Standards

  • Primary communication via email with WhatsApp for quick updates

  • 3 working day response window for client feedback/approvals

  • Single point of contact required from client side to avoid conflicting direction

  • Delays in client communication do not pause billing for Social Media Marketing Services unless agreed in writing.


Anti-Ghosting Protection


If you become unresponsive for 7+ consecutive days at any project stage:


  • Daily storage/hold fee of 1.5% of total project value begins immediately

  • Covers data storage, reserved calendar slots, and opportunity cost

  • Maximum 30% of project value cap per month

  • After 21 days silence: Project archived with 15% reactivation fee plus scope reassessment

  • After 45 days silence: Project deemed abandoned, all payments become due, no refunds


This protects both our time and ensures serious client commitment whilst being fair.


6. Revision and Approval Process


Standard Revisions

  • Up to 3 free revision rounds included per milestone

  • Revisions must be provided in writing with specific, actionable feedback

  • No vague requests like “make it pop” – specific changes only

  • Additional revisions billed at hourly rate


Approval Milestones

  1. Concept/Style frames → Client approval required

  2. Rough Cut/Animatic → Feedback and approval

  3. Fine Cut → Final feedback round

  4. Final Delivery → Sign-off and payment


No response within 3 working days = deemed approved to proceed


7. Project Timeline and Delivery


Timeline Factors

  • Timelines discussed and agreed before project commencement

  • Clock starts only after deposit payment and receipt of all client materials

  • Client delays (late materials, slow feedback, scope changes) extend deadlines equivalently

  • Force majeure events (power outages, internet issues, illness) may affect timelines with notification


Delivery Specifications

  • Final deliverables in agreed formats only (e.g., H.264 MP4 1080p/4K, ProRes 422)

  • Additional formats beyond scope charged separately

  • Colour grading optimised for Rec.709/sRGB unless specified otherwise

  • Cloud delivery via Google Drive/WeTransfer (files available for 30 days)


8. Data Storage and Archival Policy


Standard Storage

  • Working files and raw footage retained for 30 days post-delivery

  • After 30 days, files may be deleted without notice unless archival purchased


Optional Long-term Archival

  • Monthly fee for up to 12 months of project storage

  • Includes all working files, renders, and source materials

  • Retrieval fee plus any re-linking/conversion costs if software versions differ


File Ownership and Access

  • Raw project files (.aep, .prproj, .blend) remain my property unless separately purchased

  • Source file buy-out available for additional fee

  • Client receives only final deliverables specified in scope


9. Intellectual Property and Usage Rights


Client Rights

  • Non-exclusive, non-transferable worldwide licence to use final deliverables for intended purpose

  • Full commercial usage rights upon complete payment

  • Cannot resell, redistribute, or claim authorship of my creative work


My Rights

  • Portfolio and promotional usage rights unless NDA prohibits

  • Credit in end cards/descriptions when possible

  • Retain all pre-existing IP, techniques, templates, and methodologies


Third-party Assets

  • Stock footage, music, fonts must be licenced by client or purchased through me (at cost)

  • Client responsible for obtaining necessary usage rights for provided materials

  • I’m not liable for copyright issues arising from client-provided content


10. Cancellation and Kill Fees


Cancellation Policy

  • Before work starts: Full refund minus transaction fees (3–5%)

  • After first milestone delivered: 50% of total project fee due

  • After 75% completion: 80% of total project fee due

  • Final stage: 100% payment required

Kill Fee Structure


Protects against sudden cancellations and compensates for work completed:


  • Pre-production phase: 25% of project value

  • Production phase: 50% of project value

  • Post-production phase: 75% of project value


11. Quality Standards and Warranties


Professional Standards

  • Industry-standard tools and workflows used (Adobe Creative Suite, Blender, DaVinci Resolve etc.)

  • Work delivered free from technical defects within agreed specifications

  • 5 working day defect reporting window after final delivery

  • No guarantee on subjective preferences beyond agreed creative direction


Technical Specifications

  • GPU-accelerated workflows for optimal quality and speed

  • Proxies used for large files (original quality maintained in finals)

  • Regular backup protocols during active production

  • Version control maintained throughout project lifecycle


12. Client Responsibilities and Materials


Required from Client

  • Complete creative brief and reference materials upfront

  • All source materials in agreed formats and quality

  • Timely feedback within specified windows

  • Final approval sign-offs in writing

  • Complete payment per schedule


Material Standards

  • Video files: Minimum 1080p, preferred codecs (ProRes, DNxHR, H.264)

  • Audio: WAV or AIFF preferred, MP3 acceptable

  • Graphics: Vector formats when possible, minimum 300 DPI for raster

  • Brand assets and style guides must be provided upfront


13. Confidentiality and NDA


Standard Confidentiality

  • All client information kept confidential during and after project completion

  • Non-disclosure of sensitive business information, unreleased content, or proprietary data

  • Separate NDA available for highly sensitive projects


Portfolio Usage Exception

  • Right to showcase work in portfolio/social media after public release unless prohibited

  • Behind-the-scenes content and process videos may be created for educational purposes

  • Client branding visible only as portfolio examples, not endorsements


14. Limitation of Liability and Indemnification


Liability Limits

  • Total liability limited to fees paid for specific project

  • No responsibility for indirect damages, lost profits, or consequential losses

  • Client use of deliverables beyond agreed scope is at their own risk


Mutual Indemnification

  • Client indemnifies me against claims from their provided materials or instructions

  • I indemnify client against claims that final work infringes third-party IP (excluding client materials)

  • Both parties responsible for their own legal costs unless court decides otherwise


15. Force Majeure and Technical Issues


Uncontrollable Events

  • Not liable for delays due to: natural disasters, power outages, internet failures, government actions, illness, or equipment failure

  • Will communicate promptly and work to minimise impact

  • Timeline adjustments made fairly without penalty to either party


Technical Dependencies

  • Reliance on third-party services (cloud storage, render farms, stock libraries) carries inherent risks

  • Best efforts made to use reliable providers and maintain backups

  • Alternative solutions pursued if primary tools fail


16. Dispute Resolution and Governing Law


Resolution Process

  1. Good faith negotiation (14 days)

  2. Mediation in Ahmedabad, Gujarat (costs split)

  3. Courts of competent jurisdiction in Ahmedabad, Gujarat


Governing Law

  • Agreement governed by laws of India

  • Jurisdiction: Ahmedabad, Gujarat courts exclusively

  • Each party bears own legal costs unless court orders otherwise


17. Communication and Business Hours


Operating Hours

  • Monday–Friday: 10 AM–7 PM IST

  • Saturday: 10 AM–4 PM IST (limited availability)

  • Sunday: Emergency contact only

  • Response time: 24–48 hours during working days


Preferred Communication

18. Special Provisions and Additional Fees


Rush and Priority Work

  • Same-day delivery: 3× standard rate (subject to availability)

  • Next-day delivery: 2× standard rate

  • Weekend rush: Additional 50% surcharge

  • Holiday work: 2× standard rate


Travel and On-location Work

  • Travel charges: Actual transport + accommodation + daily location fee

  • Minimum 2-day booking for outstation work

  • Travel time billed at 50% hourly rate

  • Equipment transport and insurance costs additional


Additional Services

  • Colour calibration consultation at hourly rate

  • Training/tutorial sessions at hourly rate

  • File format conversions per format per video

  • Archive retrieval plus processing time


19. Termination and Contract Modifications


Termination Rights

  • Either party may terminate with 7 days written notice

  • Immediate termination for material breach (non-payment, scope violations, misconduct)

  • Work completed to termination date must be paid in full


Contract Changes

  • Modifications require written agreement from both parties

  • Verbal changes not valid or enforceable

  • Email confirmations acceptable for minor scope adjustments


20. Signatures and Acceptance


Valid Acceptance Methods

  • Digital signature on this agreement

  • Email confirmation stating “I agree to the terms”

  • Payment of deposit (constitutes acceptance)

  • Requesting work to commence


Project-Specific Terms

  • Each project requires signed Statement of Work (SOW)

  • SOW includes specific deliverables, timeline, and pricing

  • This master agreement governs all individual projects


21. Social Media Marketing Services


21.1 Nature of Service

Social Media Marketing Services are provided on a monthly retainer basis and are distinct from one-time creative or project-based services. These services focus on ongoing content creation and brand communication across social media platforms, as defined in the agreed package or Statement of Work (“SOW”).


21.2 Scope and Deliverables

The scope of Social Media Marketing Services is strictly limited to the deliverables specified in the selected package or SOW, which may include:


Static social media creatives

Short-form video content (Reels / Shorts)

Captions and content planning

The number of creatives, videos, platforms, formats, and delivery timelines shall be clearly defined in writing. Any work requested beyond the agreed scope shall require written approval and additional fees.

Unused deliverables do not roll over to subsequent months unless explicitly agreed.

Posting and account management are excluded unless explicitly stated in the SOW.


21.3 Revisions and Approvals

Unless otherwise stated in the SOW:


Static creatives include up to two (2) revision rounds

Video content includes one (1) revision round


Revisions are limited to minor adjustments. Changes in concept, messaging, or creative direction after approval shall be treated as new work and billed accordingly.


Client approvals or feedback must be provided within 3 working days. Failure to respond within this timeframe shall be deemed approval to proceed.


21.4 Client Responsibilities


The Client agrees to:

Provide accurate brand assets, product information, references, and approvals on time

Ensure all published content complies with applicable laws, platform policies, and advertising regulations

Take full responsibility for product claims, pricing, offers, and promotional messaging

The Service Provider is not responsible for delays or performance issues caused by incomplete, incorrect, or delayed client inputs.


21.5 Platforms and Posting

Social Media Marketing Services are limited to the platforms explicitly mentioned in the SOW. Additional platforms, content adaptations, or posting formats are not included unless agreed separately in writing.


21.6 Paid Advertising

Paid advertising strategy, management, and ad spend are not included in Social Media Marketing Services unless expressly stated in the SOW.


Advertising budgets shall be paid directly by the Client. No guarantees are provided regarding ad performance, reach, conversions, or return on investment.


21.7 Performance Disclaimer

The Service Provider does not guarantee specific outcomes including follower growth, engagement, reach, website traffic, leads, or sales. Social media performance is influenced by factors beyond direct control, including platform algorithms, market conditions, audience behaviour, and product-market fit.


21.8 Intellectual Property and Usage Rights

Upon full payment for the relevant billing period, the Client is granted a non-exclusive, non-transferable, worldwide licence to use delivered social media content for its intended purpose.


All templates, workflows, creative systems, and pre-existing intellectual property remain the property of the Service Provider. Portfolio and promotional usage rights apply unless restricted by a written NDA.


21.9 Payment Terms

Social Media Marketing Services require advance monthly payment before commencement of each billing cycle. Late payment penalties, suspension rights, and non-payment remedies outlined in Section 4 of these Terms apply equally to Social Media Marketing Services.


Billing cycles are calculated on a calendar-month or agreed monthly cycle basis and are not prorated unless explicitly agreed in writing.


21.10 Term and Termination

Social Media Marketing Services operate on a month-to-month basis unless otherwise stated in writing. Either party may terminate the engagement with 7 days’ written notice. Fees paid for the current billing period are non-refundable.


21.11 Limitation of Liability

The Service Provider’s total liability for Social Media Marketing Services shall be limited to the fees paid for the relevant monthly period. The Service Provider shall not be liable for indirect, incidental, or consequential losses arising from social media performance or platform changes.
